Public Agreement (Offer)

1. In this User Agreement, the terms are used in the following meaning:

1.1. Center of Conscious Business – LIMITED LIABILITY COMPANY “RETREAT-CENTER OF CONSCIOUS BUSINESS (РЕТРИТ-ЦЕНТР УСВІДОМЛЕНОГО БІЗНЕСУ),” (EDRPOU code 40828665, address: 08124, Kyiv region, Buchansky district, Khmilna village, 95-A Kucherova Street), registered and operating in accordance with the legislation of Ukraine (hereinafter - the Center).

1.2. Guest – any legally capable natural person who, at the moment of concluding the Agreement, is at least 18 (eighteen) years old.

1.3. Services – temporary accommodation (lodging) services provided by hotels and similar temporary accommodation facilities.

1.4. Agreement – this User Agreement.

1.5. Accommodation Facility – the accommodation provided to the Guest.

1.6. Booking – the reservation of an Accommodation Facility for the Guest for a specified period.

1.7. Website – the webpage on the Internet available at:

1.8. Payment System – a legal entity that processes and executes payments using bank cards and possesses the relevant licence(s) from the National Bank of Ukraine to perform such activities.

1.9. Promo Code – a unique code generated by the Center, or upon the Center’s order, which provides the Guest with a discount, in the amount determined by the Center, on the Services.

2. Subject of the Agreement and Its General Provisions

2.1. The Center provides, and the Guest accepts and pays for, the Services rendered by the Center to the Guest.
2.2. This Agreement is a public contract concluded between the Center and the Guest and regulates the relations that arise between the Center and the Guest regarding the provision of the Services.
2.3. This Agreement, in its current version, is published on the Website.
2.4. This Agreement is deemed concluded between the Center and the Guest at the moment the Guest completes a Booking.
2.5. By completing a Booking, the Guest confirms that he is familiar with and fully agrees to the terms of this Agreement, the Privacy Policy, and the Accommodation Rules, accepts the offer to conclude the Agreement, and gives consent to the processing of his personal data.
2.6. When concluding the Agreement, the Guest confirms that he has the necessary legal capacity to enter into it, and is not restricted by law, by any other regulatory act, by a court decision, or in any other manner from entering into and performing the Agreement.
2.7. When concluding the Agreement, the Guest understands and agrees that the Services are provided by the Center exclusively to persons aged 10 (ten) years and older.

3. Booking

3.1. To conclude the Agreement and receive the Services, the Guest must complete a Booking through the Website. The Guest may not complete a Booking without agreeing to the Agreement, the Privacy Policy, and the Accommodation Rules.
3.2. During the Booking, the Guest shall indicate:
· first name and last name;
· email address;
· telephone number.

3.3. The Center guarantees to the Guest that the information provided by the Guest during the Booking will not be used for any purposes other than the provision of the Services and the purposes defined in this Agreement.
3.4. The result of the Guest’s Booking is the reservation of an Accommodation Facility for the Guest for a specified period.
3.5. The Guest independently ensures the safekeeping of the information necessary to access their Booking and all information contained therein without exception.
3.6. The Center guarantees to the Guest that it will not take any actions regarding the transfer of information about the Guest’s Booking or the information contained therein, except in cases and to the extent necessary to provide such information:
· to third parties for the purpose of ensuring that the Guest receives the Services;
· upon request of law enforcement authorities;
· upon request of judicial authorities;
· in other cases provided for by the legislation of Ukraine.

3.7. The Center shall not be liable for the consequences of the Guest’s loss of information or loss of access to the information concerning their Booking.

4. Cost of Services and Payment Procedure

4.1. The Center provides the Guest with the Services on a paid basis.
4.2. The Center independently determines the cost of its Services.
4.3. The cost of the Center’s Services is indicated on the Website.
4.4. The cost of the Services may vary depending on the Accommodation Facility selected by the Guest.
4.5. The cost of the Services is set in the national currency of Ukraine - hryvnia.
4.6. The cost of the Services may be changed by the Center unilaterally prior to the Guest making payment.
4.7. Payment for the Services may be made by the Guest exclusively in non-cash form.
4.8. When paying for the Services in non-cash form, the Guest will be redirected to the website of the Payment System through which the acceptance and transfer of the Guest’s funds will be conducted.
4.9. The Center does not have access to and does not collect, record, use, or process any information that has or may have a direct or indirect relation to the Guest’s bank cards or other payment information.
4.10. In case of any questions or issues related to payment for the Services, the Guest must address such questions or resolve such issues directly with the Payment System.
4.11. The Center has the right not to provide Services to a Guest who has not made payment for the Services.

5.1. Promo Codes

5.1. The Center may provide Promo Codes to the Guest.
5.2. To use a Promo Code, the Guest must enter it into the field “I have a promo code” on the Website before making payment.
5.3. Conditions for using Promo Codes:
· Promo Codes may not be copied, sold, transferred, or disclosed.
· Promo Codes may be deemed invalid or cancelled by the Center at any time and for any reason, or without any reason.
· Promo Codes are not subject to exchange or return.
· Promo Codes are not recoverable in case of loss.
· A Promo Code cannot be exchanged for money or any other benefits.

6. Refusal to Provide Services

6.1. The Center has the right to refuse to provide Services to the Guest (including canceling the Guest’s booking) in the following cases:
· Violation by the Guest of the terms of this Agreement or the Accommodation Rules.
· Provision by the Guest of inaccurate information during Booking.
· If the actions of the Guest lead or may lead to a violation of the rights of the Center or the rights of third parties.
· If the actions of the Guest lead or may lead to a violation of applicable legislation of Ukraine.
· If the actions of the Guest lead or may lead to the emergence of claims against the Center from third parties.

7. Refunds

7.1. The Guest has the right to refuse the Services and submit a refund request in cases defined by this Agreement.
7.2. To submit a refund request, the Guest must provide the Center with the following information and documents:
· Last name, first name, and patronymic (if applicable);
· Taxpayer Registration Number;
· Registration address;
· Bank account number in IBAN format and the number of the payment card used for payment;
· A scanned copy of the Payment System receipt confirming payment for the Services.
7.3. If a refund request is received within the period defined by this Agreement and the Guest provides the information and documents defined by this Agreement, the Center shall refund the funds to the Guest within 30 (thirty) calendar days from the date of receipt of such request.
7.4. Failure by the Guest to comply with the timeframe defined by this Agreement and/or failure to fulfill any of the conditions defined by this Agreement constitutes grounds for refusal to refund the Guest’s funds.

8. Booking Rules

8.1. The Center establishes the following check-in and check-out rules for the Guest:
· Check-in: from 15:00 (3:00 PM);
· Check-out: until 12:00 (12:00 PM).

8.2. The Guest has the right to cancel the Booking no later than 7 (seven) calendar days before the check-in date without being charged any fee.
8.3. In the event the Guest cancels the Booking less than 7 (seven) calendar days before the check-in date, or in the event the Guest does not check in on the specified date, the Guest shall be obliged to pay the full cost of the Services.

9. AS IS

9.1. The Services are provided by the Center on an “as is” basis. This means that the Center provides the Services, and the Guest receives the Services, in the form in which they can be provided at the given time, according to the technical, operational, and other capabilities of the Center, and that the Guest accepts the Services in advance with all deficiencies that are immediately apparent or that may become apparent in the future.
9.2. The Guest has no right to make any claims or demands against the Center in connection with the Services not meeting any expectations or provisions not specified in this Agreement, or in connection with the fact that the Website, the Payment System, or any other third-party and/or related services may operate with interruptions, unreliably, or with certain errors.

10. Liability

10.1. The Center shall not be liable for:
· the inability to provide the Services for reasons beyond the Center’s control;
· the actions of any third parties;
· any damage or losses caused not through the fault of the Center.

10.2. The Center shall be liable for violations of the terms of providing the Services.
10.3. The Guest shall be liable for:
· destruction or damage to the Center’s property;
· use of the Accommodation Facility in violation of the terms of this Agreement;
· violation of the Center’s Accommodation Rules.

10.4. The Center does not guarantee and shall not be liable for the possibility or impossibility of making a payment by bank card via the Payment System, for the proper functioning of the Payment System, or for ensuring the preservation and security of the information provided by the Guest to the Payment System for making a bank card payment.
10.5. The Center shall not be liable for any material or moral damage, or any direct or indirect losses, which were or could have been caused to the Guest as a result of force majeure.
10.6. The Guest shall be liable for the risk of accidental destruction and/or accidental damage to the Center’s property within the value of such property or within the value of its restoration. Payment for the restoration or for the property destroyed through the Guest’s fault must be made by the Guest before check-out or within 1 (one) banking day from the date the Guest receives the corresponding demand from the Center.If the Guest fails to pay the cost of restoration or the value of the property destroyed through the Guest’s fault within the period specified in this clause, the Guest shall additionally be obliged to pay the Center a penalty of 10% of the cost of restoration or the destroyed property for every 10 calendar days of delay.
10.7. Notwithstanding any provisions set forth in this Agreement, the Center states, and the Guest accepts and agrees, that the Center’s total material liability shall be limited to the amount of the cost of the Services paid by the Guest.

11. Collection and Recording of Personal Data

11.1. All matters directly or indirectly related to the processing and protection of the Guest’s personal data are determined by the Privacy Policy, which is published on the Website.
11.2. By completing a Booking, the Guest confirms that he is familiar with and fully agrees to the Privacy Policy.

12. Applicable Law

12.1. This Agreement and the relations of the Parties that are not regulated by this Agreement shall be governed by the legislation of Ukraine and international legislation recognized by the state of Ukraine in the prescribed manner.

13. Amendments to this Agreement

13.1. The Center has the right to unilaterally make changes or additions to this Agreement, with or without notifying the Guest, and the Guest accepts this right of the Center and gives his irrevocable consent to the Center introducing such changes and additions.
13.2. If the Guest continues to use the Services of the Center, this means that he unconditionally accepts the changes or additions made by the Center.
13.3. If the Guest does not accept the changes or additions made by the Center, he must notify the Center by sending a written notice to the Center’s address. In such a case, the Guest shall not receive the Services and shall have the right to a refund under the terms and in the manner set out in this Agreement.

14. Validity of Provisions

14.1. In the event that the provisions of this Agreement differ from the provisions published on the Website (including but not limited to) and/or from additional terms of the Services that are not specified in this Agreement but are published on the Website, the provisions published on the Website shall apply.
14.2. If one or more provisions of this Agreement are declared invalid or void by a court, all remaining provisions shall retain their legal force.
